MarketGlide Terms of Use

Welcome to MarketGlide! These Terms of Use (“Terms”) govern your access to and use of the MarketGlide platform (“Platform”) and any related services. By accessing or using MarketGlide, you agree to comply with and be legally bound by these Terms. If you do not agree, please do not use the Platform.

1. Acceptance of Terms

By using MarketGlide, you confirm that you accept these Terms and agree to comply with them.

2. Definitions

· “MarketGlide,” “we,” “us,” “our” – refers to MarketGlide, a product operated by Ventures Without Borders Limited, registered in England and Wales (Company No. 15397290).

· “User,” “you,” “your” – refers to any individual or entity that accesses or uses the Platform.

3. Eligibility & Use

3.1 Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Platform.

3.2 Permitted Use

You agree to use MarketGlide only for lawful purposes and in accordance with all applicable laws and regulations.

3.3 Prohibited Activities

You may not:

· Use the Platform for any fraudulent, unlawful, or misleading purpose.

· Interfere with the functionality or security of the Platform.

· Attempt to copy, extract, scrape, or reproduce Platform content, user data, listings, or profiles without express written authorization (“Unauthorized Data Use”).

· Access or attempt to access any system or data without proper authorization.

· Use any information or contact details obtained through the Platform for unsolicited marketing, mass distribution, data scraping, or unauthorised commercial purposes.

Any prohibited activity under this clause may result in immediate suspension or termination of your account and may give rise to legal action or claims by MarketGlide.

4. Intellectual Property

All trademarks, logos, content, and other intellectual property on MarketGlide are owned or licensed by us. You may not reproduce, distribute, or use them without written consent.

MarketGlide is a trading name of Ventures Without Borders Limited. Both “MarketGlide” and “Ventures Without Borders” are registered trademarks in the United Kingdom.

5. User Accounts

If you create an account, you agree to:

· Provide truthful and complete information.

· Maintain the confidentiality of your login credentials.

· Notify us immediately of any unauthorized use.

We reserve the right to suspend or terminate accounts at our discretion for any violation of these Terms.

6. Third-Party Content

MarketGlide may contain links to third-party websites. We are not responsible for the content, terms, or practices of any third-party site. Use them at your own risk.

7. Disclaimers

7.1 No Investment Advice

MarketGlide is a discovery platform that facilitates introductions and deal visibility. We do not provide investment advice, arrange investments, or manage funds. Users are solely responsible for their own due diligence and decision-making.

7.2 FCA Authorisation and Investor Categorisation

MarketGlide and Ventures Without Borders Limited are not authorised or regulated by the UK Financial Conduct Authority (FCA). Listings and investment opportunities displayed on the Platform are intended solely for persons who fall within one or more of the exemptions under the UK Financial Services and Markets Act 2000 (Financial Promotion) Order 2005 (FPO), including:

· Investment professionals/Authorised persons (Article 19 FPO);

· Certified high net worth individuals (Article 48 FPO);

· High net worth companies, unincorporated associations, and partnerships (Article 49 FPO);

· Self-certified sophisticated investors (Article 50A FPO).

By using MarketGlide to view or engage with Listings, you represent and warrant that you fall within one or more of these categories. You will be required to make further specific declarations and certifications during the sign-up or onboarding process. We accept no liability if you falsely represent your status.

7.3 No Warranties

MarketGlide is provided “as is” and “as available,” without any guarantees regarding uptime, security, or accuracy.

7.4 No Outcome Guarantee

Use of MarketGlide does not guarantee that you will receive funding, secure deals, or achieve any particular investment or business outcome. All opportunities depend on third-party engagement and individual merit.

8. Limitation of Liability

To the extent permitted by law, we are not liable for:

· Loss of profits, business, or opportunities;

· Any indirect, incidental, or consequential damages;

· Errors, delays, or failures in Platform availability or performance;

· Misstatements, omissions, or inaccuracies in Listings or User profiles;

· Outcomes of introductions, conversations, or transactions initiated through the Platform.

9. Indemnity

You agree to defend, indemnify, and hold harmless MarketGlide and Ventures Without Borders Limited from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to:

· Your use or misuse of the Platform;

· Any content or data you submit;

· Engagements, communications, or transactions you enter into with other Users;

· Your breach of these Terms or applicable laws.

10. Content & Conduct

· Users retain ownership of submitted content but grant us a non-exclusive license to use it within the Platform.

· We reserve the right to remove or moderate any content in breach of these Terms.

· Users must ensure all submitted information is accurate and compliant with relevant laws.

11. Subscription & Payment

Subscription fees and pricing terms are detailed separately on the Platform.

· Payments must be made according to the selected billing cycle.

· Refunds and cancellations are subject to our subscription policies.

· Failure to make timely payment may result in suspension or cancellation of your access to premium features or membership.

We reserve the right to pursue collection or take other appropriate action for unpaid fees.

12. No Brokerage or Solicitation

MarketGlide is not a broker or financial intermediary. We do not facilitate, execute, or manage transactions on behalf of users. All responsibility lies with the parties engaging in the transaction.

13. Dispute Resolution

If a dispute arises between you and MarketGlide or Ventures Without Borders Limited, both parties agree to first attempt to resolve the matter informally through negotiation.

If the dispute cannot be resolved within a reasonable time, either party may refer the matter to the courts of England and Wales, which shall have exclusive jurisdiction.

14. Privacy

Your use of MarketGlide is governed by our Privacy Policy, which details how we collect, use, and store your data.

15. Termination

We may suspend or terminate your access at any time, with or without notice, if you breach these Terms or pose risk to the Platform’s integrity or user community.

16. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales unless otherwise required by law.

17. Updates to Terms

We may revise these Terms periodically. You will be deemed to accept changes by continuing to use the Platform after updates are published.
